General Meeting of Members (GMM)

The General Meeting of Members (GMM) is LATGA’s main governing body, bringing together authors from various fields. The GMM is held at least annually by the Council’s decision, a key governing body of the Association.

Every four years, the GMM also elects members of the Council and the Audit Commission.

The main provisions of the GMM

The GMM elects the Council

Council members are elected from the members of the Association by the General Meeting. One member of the Council shall be nominated by the Artists’, Photographers’, Cinematographers’, Composers’, Writers’, Folk Artists’ and Journalists’ Unions among the members of the Association. Members of the Council shall not be persons who are commercially active as users of works of authorship or related rights administered by the Association.

Quorum

If the quorum is not present at the General Meeting, a reconvened General Meeting shall be held not later than seven (7) calendar days later and shall be entitled to adopt resolutions on the agenda of the unconvened General Meeting, irrespective of the number of members of the GMM and the Association present.

As our Association has a very large number of members, the possibility of gathering the quorum required by the Law on Associations of the Republic of Lithuania is theoretical.

Chair of the GMM

The GMM shall be chaired by the President or another member of the Council elected by a simple majority of the GMM participants. The GMM shall appoint/elect and dismiss members of the Council, the Audit Commission and the Ethics Commission, evaluate their performance, approve their remuneration (if any), other monetary and non-monetary benefits, elect the President from among the members of the Council; appoint and dismiss the independent auditor from among the nominees selected by the Council; decide on the amendments to the Articles of the Association and to the conditions of the Membership, establish and approve the amount of the joining fees and the amount of the membership fees and the procedure of their payment etc.

All members of the Association shall have the right to vote at the GMM

If any member of the Association is unable to attend the GMM in person, they may be represented by another member of the Association in accordance with the procedure laid down by law, provided that such representation does not give rise to any conflict of interest. A member of the Association who is … a legal person may be represented at the GMM only by the employees, participants or members of the governing body of that legal person. The right to represent the GMM may be granted by a member of the Association by means of a Transfer of Voting Rights Agreement. Under the agreement, the transferee may take over the voting rights of only one member.
